Lynn Warneke
Chair

Lynn has 30 years of cross-industry experience spanning consulting, government, tertiary education and retail/wholesale, and the technology and start-up sectors. Her expertise includes digital and data strategy, customer experience and organisational transformation, Artificial Intelligence (Al) and emerging technologies and data privacy and cybersecurity.
Lynn's executive and consulting career included senior roles in public organisations and ASX and internationally listed companies, leading corporate operations, innovation and technology functions and major programs. She was previously Chief Operating Officer/Chief Information Officer at the Department of Premier and Cabinet Victoria, and Deputy Chief Digital Officer at Deakin University.
She is a member of the Council of RMIT, and a Non-Executive Director of lnfotrust (ASX:ITS) where she chairs the Audit & Risk Committee, Soomaroo Ply Ltd and VERNet Ply Ltd. She serves as a member of the ACS National Al Committee and is a start-up industry mentor with Stone & Chalk.
Lynn received the 2022 Norton Rose Fulbright Prize for Cyber Law, and was awarded #7 in the 2020 CIO50 list recognising Australia's most innovative CIOs. She is a Fellow of the Governance Institute of Australia and the Australian Computer Society (ACS).
Carla Purcell - Managing Director
Carla was appointed as our Managing Director on 18 August 2025. Before joining us, Carla held Chief Executive Officer and Chief Operations Officer positions at Yarra Trams.
Carla has a proven track record in delivering safe and reliable essential services that put employees and customers first. She holds degrees in law and commerce with a Bachelor of Laws and a Bachelor of Commerce (majoring in Economics) from Deakin University.
Dr Rohan Henry
BSc. (Hons), PhD, MAICD

Rohan has over 25 years' experience across project development, government and First Nations sectors. His expertise spans governance, environmental approvals, water policy, and Traditional Owner engagement.
Rohan continues to practice as an independent consultant working nationally across water, renewable energy, and First Nations projects.
Previously, Rohan has held roles as Chief Executive Officer of Self Determination Fund Limited (Trustee of Self Determination Fund), and Manager, Policy, Projects and Partnerships at Bunurong Land Council Aboriginal Corporation. He has also held a number of roles on independent panels and committees within Commonwealth and State Governments.
Rohan serves as a Non-Executive Director of Self-Determination Fund Limited (Trustee of the Self-Determination Fund), Non-Executive Director of One-Basin Cooperative Research Centre, is a Commissioner at the Victorian Environmental Water Holder, and is the Chair of the Federal Government's Indigenous Advisory Committee.
Julie Stanley

Julie has over 30 years' experience across infrastructure, energy and consumer sectors. Her experience spans finance, accounting, regulated industries and risk management across Australia and internationally.
Julie is an experienced non-executive director and audit committee chair. She is a former partner of Deloitte and a former registered company auditor.
Julie is a non-executive director of RACV Limited where she chairs the Audit and Compliance Committee. Julie previously served on the board of Transgrid (2015 - 2025), where she chaired the Board Audit and Risk Committee, and the board of Regional Arts Victoria.
Bianca Goebel
MBA, MEng (Chemical), CEng, GAICD

Bianca currently works in strategy with a focus on water, green hydrogen, batteries and mining. She is a chartered chemical engineer who spent her early engineering career focused on water spanning potable water, sewage treatment, water storage and running a reverse osmosis water treatment facility. Bianca has complemented her technical engineering skill set with management experience as CEO of a NFP, strategy experience via working at a top tier management consulting firm BCG and by completing an MBA
Bianca has developed her board and governance skillset via completing the AICD Company Directors Course and through a variety of current and past roles including: YWCA QLD Non-Executive Director, CEO and Director (at different times) of NFP Youth Without Borders, Victorian Divisional Council - Australian Red Cross, Bush Heritage Australia Safety and Operations Board Sub-committee member, University of Queensland Academic Board Member, Co-chair the UQ Young Alumni Advisory Board, Chair of the Women in Engineering Alumni Committee and Co-founding NFP Foundations for Tomorrow.
Bianca is also a member of the World Economic Forum's Water Futures Community.
Dr Nick Fleming
BE (Hons), PhD, FIEAust, FTSE, GAICD

Nick is an experienced company director drawing on 30 years of professional experience in the private and public sectors across Australia and abroad.
In 2024, he joined the board of TasNetworks following his term as National President and Chair of the Board of Engineers Australia. Nick is also an Advisory Board Member with Infrastructure Golab, having previously been a director of the Infrastructure Sustainability Council of Australia (ISCA).
Prior to establishing his boutique advisory firm in 2015, Nick was Director of Business Innovation at Jacobs Group (Australia) and before that the global Chief Sustainability Officer for Sinclair Knight Merz.
Nick also leads executive education in systems leadership, strategy, and complex public problem-solving with the ANZ School of Government and the South Australian Leadership Academy.
Nick was made a Fellow of the Australian Academy of Technological Sciences and Engineering in 2025 in recognition of his expertise in systems thinking and complex problem solving, and award-winning contributions to natural resources management and sustainable development.
Selina Lightfoot

Selina is an experienced non-executive director, having held a range of directorships over the last 15 years across ASX listed, private, government and not for profit entities.
Prior to commencing her non-executive career, Selina had extensive experience as a corporate legal adviser, including as a Partner at Freehills (now Herbert Smith Freehills Kramer). Her areas of expertise include mergers and acquisitions, commercial contracts, risk management and governance.
Selina’s current directorships include with Marinus Link Pty Ltd, Tasmania Development & Resources, TLC Healthcare Group, Breakthrough T1D and North Melbourne Football Club, and until recently, with Hydro Tasmania. During her board career, Selina has gained significant cross sector experience, with a particular focus recently on renewable energy, infrastructure as well as customer facing businesses.
Selina is also a Fellow of the Australian Institute of Company Directors.
Chris Newton

Chris has over 20 years’ leadership experience across government, investment, and sustainability. His expertise spans investment strategy and ESG evaluation, climate change policy and transition planning, commercial and financial analysis, and stakeholder engagement.
Previously, Chris was Global Head of Sustainability and Responsible Investment at IFM Investors, where he led ESG integration across multiple asset classes and advised on climate transition and social impact risks.
Chris has also held executive roles in finance, sustainability and corporate affairs within both commercial and not-for-profit organisations, including AMP, ANZ, Deloitte, Good Shepherd, Australia Post and Transurban.
He brings significant sector experience having been the deputy chair of Westernport Water, and chair of its People, Safety and Culture Committee.
Chris was recognised for his leadership in responsible investment through industry awards from the UN Principles for Responsible Investment and the Investor Group on Climate Change.
Chris currently serves as an Independent Director and the Chair of the Audit, Investment & Risk Committee at Nyamba Buru Yawuru, the Traditional Owners of Broome and has held board roles in the not-for-profit sector, including at Social Traders and Reclink.
Also, he is a Non-Executive Director of Parks Victoria and is the chair of the Blackwattle ESG Council and continues to advise on ESG investment strategy and policy.
Philippa Taylor

Philippa has over 25 years' experience across ASX, private, government and not-for-profit boards across financial services, professional services, education, biomedical, sport and recreation, utilities and humanitarian sectors. Her expertise spans workforce transformations and risk management, digital transitions and financial growth strategies across Australia and internationally.
Previously, Philippa held roles as CEO of The Ducendi Group, General Manager, Human Resources of the Australian Grand Prix Corporation, various roles at SMS Management & Technology including Chief People Officer and ACT Practice Manager. She also held executive roles with UXC, the Australian Sports Anti-Doping Organisation, Deakin Health & Sports Centre, and Adia Personnel Services.
Philippa is a Council Member at RMIT University, an advisory board member at We Make a Difference Limited, a Council Member at ISN Psychology, and the independent Chair of the Nomination and Selection Committee of the Australasian College of Paramedicine. She previously served on the boards of Raiz Invest Limited (ASX:RZI), Western Leisure Services Limited, Apollo League Limited, and the International Women's Development Agency.y.
Claire Amies

Clare has extensive board and CEO leadership experience across public and not-for-profit sectors. She brings a strong commitment to sustainable resource management, community engagement, governance, risk management and compliance. Clare is known for driving strategic change through inclusive collaboration, stakeholder engagement and service excellence.
Clare is currently Chief Executive Officer at genU leading inclusive service delivery and strategic growth. Prior roles include Transition Head at Bushfire Recovery Victoria and a senior executive position at the Department of Justice and Community Safety. From 2015 to 2019, Clare served as Chief Executive of WorkSafe Victoria, following leadership roles in health and disability strategy. Earlier, Clare was CEO of Western Region Health Centre.
Clare has also authored work on mental health, homelessness, group supervision and culturally responsive practice, reflecting a focus on service innovation and learning.
Clare currently serves on the Kardinia Park Stadium Trust, Barwon Health and Barwon Health Foundation. She is also a non-executive Director and Fellow of the Institute of Public Administration Australia (Victoria), reflecting a strong commitment to public sector leadership and governance.
